1. Agreement to Terms

By accessing or using the services provided by Digital Enterprise Middle East FZ LLC ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Performance advertising (Google Ads, Meta Ads)

Social media marketing
Landing page and funnel development
Marketing strategy and consulting

The specific scope of services will be defined in individual service agreements or proposals.

3. Client Responsibilities

As a client, you agree to:

Provide accurate and complete information necessary for service delivery
Respond to requests for approvals, feedback, or materials in a timely manner
Ensure you have the rights to any content, trademarks, or materials you provide
Make payments according to agreed terms
Comply with all applicable laws and regulations

4. Intellectual Property

Our Property: All tools, processes, methodologies, and pre-existing materials used in delivering our services remain our property.

Deliverables: Upon full payment, you will own the rights to custom deliverables created specifically for your project, unless otherwise specified in the service agreement.

5. Payment Terms

Payment terms will be specified in individual service agreements. General terms include:

Invoices are due within 14 days of issue unless otherwise agreed
Late payments may incur additional fees
We reserve the right to suspend services for overdue accounts
All fees are exclusive of applicable taxes unless stated otherwise

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, customer data, financial information, and any materials marked as confidential.

7. Limitation of Liability

To the maximum extent permitted by law:

Our liability is limited to the fees paid for the specific services giving rise to the claim
We are not liable for indirect, incidental, consequential, or punitive damages
We do not guarantee specific results from marketing campaigns, as outcomes depend on many factors beyond our control

8. Termination

Either party may terminate services:

With 30 days written notice for ongoing retainer services
Immediately if the other party materially breaches these terms
According to terms specified in individual service agreements

Upon termination, you are responsible for payment of all services rendered up to the termination date.

9. Indemnification

You agree to indemnify and hold harmless Digital Enterprise Middle East FZ LLC from any claims, damages, or expenses arising from your breach of these terms, your use of our services, or any content or materials you provide.

10. Governing Law

These Terms of Service are governed by the laws of the United Arab Emirates. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ras al-Khaimah, UAE.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
